Filing Agent 档案代理人
A filing agent is a person who or which, in the course of his or its business, carries out on behalf of any other person (for example, a customer) any transaction with the Registrar using the electronic transaction system, or via any other means allowed by the Registrar, if the electronic transaction system is unavailable. 档案代理人是一个法人或者个人,在他或其业务,代表其他任何法人(例如:客户)使用电子交易系统进行任何交易注册,或如果电子交易系统不可用，通过注册官允许其它方式。
General requirements for being a registered filing agent 注册档案代理人的一般规定
The person must: 这个法人必须:
- be a business entity registered with ACRA i.e. incorporated company, registered business, registered limited liability partnership or registered limited partnership; 是在ACRA注册的商业实体，即注册公司、注册业务、注册有限责任合伙或注册有限合伙;
- act by or through at least one registered qualified individual. For example, the person may himself be a registered qualified individual, or have at least one partner who is a registered qualified individual, or he may employ or engage at least one registered qualified individual; 由或通过至少一名有资格的注册人士担任。例如，该名人士可以是注册合格个人，或至少有一名合伙人是注册合格个人，或他可以雇用或聘用至少一名注册合格个人;
- be a fit and proper person, or show that his directors or partners or persons directly or indirectly taking part in or concerned in his management are fit and proper; and 成为适当人选，或证明其董事、合伙人或直接或间接参与或有关其管理的人士适当;和
- if applicable, not less than 2 years have elapsed since the cancellation of his previous registration as a filing agent due to a sanction by ACRA. 如适用，自他先前因ACRA的制裁而取消作为档案代理人的登记以来已过去不少于2年。
Qualified Individual 合格的个人
A qualified individual is an individual who satisfies such criteria as may be prescribed. 符合资格的个人是指符合可能规定的标准的个人。
General requirements for being a registered qualified individual 注册为合资格个人的一般规定
The person must: 此人必须:
- be a qualified individual, which term is defined in the ACRA (Filing Agents and Qualified Individuals) Regulations to mean: 成为合格个人，ACRA(档案代理人和合格个人)条例中定义的术语指:
- an advocate and solicitor; 律师;
- a public accountant registered under the Accountants Act; 根据《会计法》注册的公共会计师;
- a member of the Institute of Singapore Chartered Accountants; 新加坡特许会计师学会会员;
- a member of the Association of International Accountants (Singapore Branch); 国际会计师协会(新加坡分会)会员;
- a member of the Institute of Company Accountants, Singapore; 新加坡公司会计学会会员;
- a member of the Chartered Secretaries Institute of Singapore; or 新加坡特许秘书学会会员;或
- a corporate secretarial agent; i.e. a person who is carrying on the business of providing corporate secretarial services for one or more companies and has been doing so for at least 3 years in the preceding 5 years; and has been a secretary of a company for at least 3 years in the preceding 5 years.; 公司秘书事务代理人;即从事为一间或多间公司提供公司秘书服务的业务，并在过去5年内至少从事该业务3年的人士;在过去5年曾担任公司秘书至少3年。
- be a fit and proper person; and 做一个合适的人;和
